LAWCX is governed by a Board of Directors which is composed of a representative from each of the member entities. Each entity selects one representative and one alternate to serve on the Board of Directors, and either the representative or the alternate may represent the entity at a Board of Directors meeting. The Board may delegate any or all authority, except the following authorities and responsibilities:
1) Amend the Bylaws; 2) Create or dissolve a risk management or self-insurance program; 3) Directly or by contract provide for all services required to effectively implement all aspects of the joint program established by LAWCX; 4) Designate a specific location at which it will receive notices, correspondence, and other communications; 5) Comply with the provisions of Section 6503.5 and 53051 of the Government Code requiring the filing of a statement with the Secretary of State and with the County Clerk; 6) Approve a budget for each fiscal year at least 45 days prior to the inception of such fiscal year; 7) Approve deposit premiums and the method by which deposit premiums will be paid to LAWCX; 8) Annually approve an investment policy; 9) Ensure that a complete and accurate system of accounting of LAWCX shall be maintained at all times consistent with standards established by the Financial Accounting Standards Board (FASB) and the Government Accounting Standards Board (GASB); and 10) accept new members applying for membership to LAWCX.
Each member entity is entitled to cast weighted votes allocated by LAWCX based upon the total payroll of the members represented. Total payroll shall be the actual ending payroll of the previous fiscal year. Where the member entity is a joint powers authority, the total payroll shall be the payroll of the participants in the workers' compensation program of the joint powers authority. All weighted votes allocated to each member entity shall be cast together and cannot be split. Weighted votes are allocated as follows:

Board members and alternate Board members may be reimbursed for actual and necessary expenses incurred on authorized LAWCX business if the Board member or alternate Board member does not receive reimbursement through their entity.
